Terms of Service
The agreement between CreatorMecca and the brands that use it, in plain language.
1. The agreement
These Terms are an agreement between Artyom Holdings Inc. (“we”, “us”) and the business that creates a CreatorMecca workspace (“Customer”, “you”). By creating a workspace or using the service you accept these Terms and our Privacy Policy. If you accept on behalf of a company, you confirm you have authority to bind it.
Creators who join a Customer’s workspace use the creator app under the Customer’s program; their contract is with the Customer, not with us. We are not a party to any agreement between a Customer and its creators (see section 3).
2. The service
CreatorMecca helps you run creator programs: contracts and e-signature, draft review, Spark code collection, payout tracking, samples, messaging and performance reporting from TikTok data you connect. We may improve and change the service; we won’t materially reduce the core features of your paid plan during a billing period.
We don’t hold, send or guarantee payments to creators. You pay creators directly using your own payment methods. CreatorMecca records payout status and notifies creators.
We don’t give legal, tax or financial advice. Contract templates are samples, not legal advice; have your own counsel review them. Profit and performance figures are estimates based on data from TikTok and on what you enter, and may differ from TikTok’s own reports.
3. Your contracts with creators
CreatorMecca is software. A contract you prepare, send or sign with a creator through the service (a “Creator Contract”) is an agreement between you and that creator only.
- We are not a party. We provide the tools to prepare, send and electronically sign Creator Contracts. We are not a party to them, and we are not your or a creator’s agent, broker, employer or guarantor. We don’t negotiate, review, approve or enforce Creator Contracts.
- You choose the text and are responsible for it. You decide whether to use our sample template, edit it or replace it with your own, and you set each contract’s terms. You alone are responsible for its content, legality and enforceability. When you send a Creator Contract you confirm, with your signature, that it is your own agreement, that you have reviewed it and that we are not a party to it; we record that confirmation.
- Templates are samples. The sample template, clause explanations and defaults in the app are general information, not legal advice. They may not suit your business, a particular creator or the laws that apply to you. Have your own counsel review them before you use them.
- Your obligations to creators are yours. You are responsible for paying creators what you agreed, on time; for taxes, withholding and tax forms (such as Forms W-9 and 1099); for classifying creators correctly (for example as independent contractors) and following labor and freelance-protection laws; for advertising disclosure and truthful product claims (including the FTC Endorsement Guides and TikTok’s branded content policies); for getting, and staying within, the usage rights, licenses and consents you need for creators’ content, names and likeness; and for resolving disputes with creators.
- Signature records. We keep a record of how each Creator Contract was sent and signed. We don’t promise that a Creator Contract, or an electronic signature on it, is valid or enforceable in every situation or jurisdiction.
4. Accounts and your team
You are responsible for who you invite to your workspace, the roles you give them, and activity under your workspace. Keep access to team members’ email accounts secure, since sign-in uses one-time email codes. Tell us at security@creatormecca.com if you suspect unauthorized access.
5. Trial, plans and fees
- Trial. Each new workspace starts with a 14-day free trial. No payment method is needed during the trial. To keep using the service afterwards, choose a paid plan.
- Plans. Plans are priced by active creators, as listed on our Pricing page. An active creator is a creator with a live contract (sent, signed or running) at any point in the billing month. Paused creators and creators whose contracts have ended don’t count.
- Billing and renewal. Paid plans are billed in advance, monthly or annually, and renew automatically for the same period until cancelled. Payments are processed by Stripe. Fees exclude taxes, which you are responsible for.
- Going over your plan. On Starter, adding a creator beyond its limit requires upgrading first; creators already under contract are never blocked. On other plans we never block invites: if your active creators exceed your plan’s limit by up to 10%, there is no extra charge for that billing month. If you exceed the limit in 2 consecutive months, or by more than 10% at any month’s close, your plan moves to the plan that fits your usage, prorated. If that plan is Enterprise, we will contact you instead of changing your plan.
- Changing plans. Upgrades take effect immediately and are prorated. Downgrades take effect at the end of the current billing period and are available once your usage fits the smaller plan. Changing plans never deletes your data.
- Cancellation. You can cancel anytime from Settings → Billing. Cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where the law requires otherwise.
- Price changes. We’ll give at least 30 days’ notice of a price change, effective from your next renewal.
We don’t charge a percentage of what you pay creators.
6. Your data
You own your data. “Customer Data” means everything you and your creators put into the service and the data we sync from accounts you connect. You give us permission to host, process and display Customer Data only to provide and secure the service for you, as described in the Privacy Policy. For personal data of your creators, you are the controller and we are your processor.
You are responsible for having the rights and notices needed for the data you put into the service, including your creators’ details, and for complying with laws that apply to your creator program (such as advertising disclosure rules).
If your subscription ends (you cancel, or it is cancelled for non-payment), your workspace stays available read-only: owners and admins can still sign in, view everything and download all contracts, signed documents, agreement files and payment records at any time. We don’t delete Customer Data because a subscription ended. If you ask us in writing to close your workspace and delete its data, we will do so after giving you the chance to download it, except what we must keep by law. Contracts, signed documents and payment records are never deleted by pausing or removing a creator, by a creator deleting their own account, or by changing plans.
7. TikTok and other third parties
CreatorMecca is not affiliated with or endorsed by TikTok. When you connect TikTok Shop or TikTok Ads, TikTok’s terms also apply to your use of those accounts, and features that depend on TikTok may change if TikTok changes its products or APIs. You can disconnect at any time.
8. Acceptable use
You agree not to:
- use the service for anything unlawful, deceptive, or that infringes others’ rights;
- upload malware, or try to access data or accounts that aren’t yours;
- probe, overload or disrupt the service, except good-faith security research reported to us;
- resell the service, or copy it to build a competing product;
- use it to harass creators or to pressure them into terms they didn’t agree to.
We may suspend access that puts the service, other customers or creators at risk, and will tell you why when we can.
9. Our property
We own the service, its software and our trademarks. These Terms don’t give you rights to them beyond using the service. If you send us feedback, we may use it without obligation to you. Content you and your creators upload stays yours or theirs.
10. Warranties and liability
We provide the service with reasonable skill and care. Otherwise, to the extent the law allows, the service is provided “as is” without other warranties.
We are not responsible for Creator Contracts or their terms, for what you or your creators do or fail to do under them, for payments between you and creators, or for content creators make for you.
To the extent the law allows, neither party is liable for indirect or consequential losses, or lost profits, and each party’s total liability under these Terms is limited to the fees you paid us in the 12 months before the claim. These limits don’t apply to liability that can’t be limited by law.
11. Indemnity
You will defend and indemnify Artyom Holdings Inc. and its officers, employees and agents against any third-party claim, and pay the resulting losses, damages, fines, settlements and reasonable legal fees, to the extent it arises from:
- your Creator Contracts and your relationships with creators, including claims about payment, taxes, worker classification or employment;
- content you or your creators make, upload or publish for you, and how you use it;
- your advertising, product claims and disclosure compliance; or
- your breach of these Terms or of the law.
We’ll tell you promptly about a claim, let you control its defense, and cooperate reasonably at your expense. You won’t settle a claim in a way that admits fault for us or puts obligations on us without our written consent.
12. Ending the agreement
You can stop using the service and cancel at any time. We may end the agreement with 30 days’ notice, or immediately if you materially breach these Terms and don’t fix it within 10 days of notice. Sections about creator contracts, data, fees owed, liability, indemnity and our property survive.
13. General
These Terms are governed by the laws of the State of Delaware. If we change them materially, we’ll give notice in the app or by email before the change takes effect; continuing to use the service after that means you accept the new Terms.
